These actions all concern defendant Sun Company’s purchase, over several days in January, 1978, of approximately 34% of the outstanding common stock of Becton, Dickinson & Co. from about 33 individuals and institutions. The primary question raised by these cases is whether defendants’ activities violated §§ 13(d), 14(d) and 14(e) of the Securities Exchange Act of 1934, as amended, 15 U.S.C. §§ 78m(d), 78n(d) and 78n(e).
