This action arises from Plaintiffs’ investment in residential mortgage-backed securities that were issued or underwritten by RBS Holdings USA Inc., RBS Securities Inc., RBS Acceptance, Inc., and RBS Financial Products Inc. (collectively, the “Defendants” or “RBS”). Defendants have *494moved to dismiss the consolidated complaint (the “Complaint”) pursuant to Fed.
