OPINION
BONSAL, District Judge.
Plaintiff Fidelis Corporation (Fidelis) and plaintiffs Lovelace, Bumap, Fryer, and Hearsh Bros., on behalf of themselves and the other beneficial owners of Fidelis common stock (the individual plaintiffs) instituted this action against defendant Litton Industries, Inc. (Litton).
