This diversity action was commenced in 1973 by plaintiff Record Club of America, Inc. (“RCOA”), a Delaware corporation engaged in the business of manufacturing and distributing mail-order records and tapes, against United Artists Records, Inc. (“UAR”), a California corporation with which plaintiff had entered into a 1970 licensing agreement. 1 Plaintiff asserted in its original complaint that UAR had breached the licensing agreement.
