Presently pending in this stockholder derivative suit is defendant McCormick & Company, Incorporated’s (“McCormick” or “the Company”) motion to dismiss, or in the alternative, for summary judgment. Defendant has filed two memoranda, the report of a special litigation review, commit tee, and the attachments thereto, and a number of affidavits in support of the motion.
