The plaintiffs1 initiated this action pursuant to Sections 409 and 502 of the Employee Retirement Income Security Act of 1974 (“ERISA”), codified at 29 U.S.C. §§ 1001 et seq. (1994), and the Investment Advisors Act of 1940 (“IAA”), codified at 15 U.S.C. §§ 80b-l et seq. (1994), against Shearson Lehman Brothers, Inc. (“Shearson”), Kent D.
