ROSENN, Circuit Judge.
This appeal raises an issue of contract interpretation which has important consequences to the parties and the citizens of Passaic County, New Jersey. The Passaic County Utilities Authority (PCUA or the Authority) finds itself confronted with two written contracts it executed with different parties for the disposal of solid waste during substantially the same period of time.
