This case requires us to decide whether an allegedly misleading statement made in one of defendant American Express’s regulatory disclosure documents is protected by the safe harbor provision of the Private Securities Litigation Reform Act (“PSLRA”). In the course of our analysis, we interpret Congress’s provision that a defendant shall not be liable for a forward-looking statement if it is “identified as a forward-looking statement, and ... accompanied by meaningful cautionary statements identifying important factors that could cause actual results to differ…
