On or about October 1990, Arnold H. Lichtenstein, vice-president and a minority shareholder, was ousted from Consolidated Services Group, Inc. (“CSG”), a close corporation that distributed coffee and bottled water. Two obstacles stood in the path of an amicable parting of the ways: a non-compete clause contained in his employment agreement and disposal of his shares of CSG stock.
