OPINION AND ORDER

WOOD, District Judge.

Plaintiff, Ancile Investment Company Limited (“Plaintiff’), brings this action against Archer Daniels Midland Company (“Defendant”), alleging one claim under the laws of Brazil, and claims under New York state law for (1) breach of duty of bailment; (2) breach of contract; and (3) conversion. Plaintiffs claims are based on Defendant’s alleged failure to endorse and deliver certain bills of lading in connection with Plaintiffs financing of sales of fertilizer materials shipped to Brazil.
