MEMORANDUM OPINION

This memorandum opinion sets forth the Court’s final ruling on the claims of former employee shareholders of U.S. News and World Report, Inc. (“U.S. News” or “Company”) to proceeds from the sale of the corporation. The Company was purchased in 1984 by Mortimer Zuckerman, a Boston real estate developer, for a price of $176 million.
