Upon a trial held in this cause, the Court makes the following findings of fact and conclusions of law.

The facts are essentially undisputed.
The debtor is the wholly owned subsidiary of Industrial America Corporation, which is itself a Chapter 7 debtor. The defendant, Arthur Young and Company, performed various accounting services for Industrial America.
