HAYNES, District Judge.

Plaintiff, Lowell Katt, an investor, filed this class action 1 on behalf of himself and similarly situated investors, under Section 14(d)(7) of the Securities and Exchange Act of 1934, 15 U.S.C. § 78n(d)(7), and Rule 14d-10 promulgated thereunder, against the defendants: Titan Acquisition Ltd. (“Titan”); United Technologies Corporation (“UTC”); William Trachsel, a UTC corporate officer; and Ari Bousbib, Titan’s president.
