Plaintiff,' Edward T. McGowan (“McGowan”), a director and stockholder of Empress Entertainment, Inc. (“Empress”), brought this action against the other six members of Empress’s Board of Directors, 1 all of whom were significant stockholders (the “director defendants”), and also against Empress’s former President, Joseph Canfora (“Canfora”), and Horseshoe Gaming Holding Corp.
