MEMORANDUM AND ORDER
MacLAUGHLIN, District Judge.
This matter is before the Court on defendant’s motion to dismiss on the ground that a contract forum-selection clause requires that this lawsuit be brought in Los Angeles County, California.
FACTUAL BACKGROUND
In 1978 plaintiff Leon Kline purchased Brighton Music Center in New Brighton, Minnesota. Affidavit of Leon Kline (hereinafter “Kline Aff.”) ¶ 2.
