Plaintiff, Bradley Goodrich (Goodrich) brought this action against his former employer, CML Fiberoptics, Inc. (CML), its corporate parent, Chicago Miniature Lamp, Inc. and its employee stock option plan administrator, Ronald S. Goldstein (collectively *602the defendants) after he was discharged. The issues are whether Goodrich has a claim to his unvested stock options because of an alleged breach of the implied covenant of good faith and fair dealing under Massachusetts law, and whether he is entitled to compensation for past services and unused vacation time.
