This case primarily concerns whether appellee Noble Energy, Inc., 1 owes indemnification to appellant ConocoPhillips Company for underlying environmental claims based on a 1994 Exchange Agreement and Assignment and Bill of Sale involving the exchange of oil and gas assets in Louisiana.
