This is an action for breach of fiduciary duty by a corporate officer and for unfair competition. Plaintiff, Bancroft-Whitney Company, engaged in publishing law books, is a California corporation with its principal place of business in San Francisco. Defendants are Judson B. Glen, the former president and a director of plaintiff, Matthew Bender & Co., a New York corporation which also publishes lawbooks (hereinafter called Bender Co.), and John T.
