MEMORANDUM DECISION AND ORDER

SPATT, District Judge.

In this action for specific performance of a contract for sale of real property, the defendants Leeward Ventures (“Leeward”), Barry Relinger (“Relinger”) and Gary A. Panusuk (“Panasuk”) (collectively “the defendants”) moved the Court for an order dismissing the action, pursuant to Fed.R.Civ.P. 12(b)(1), for lack of subject matter jurisdiction. In the alternative the defendants moved for an order dismissing the complaint, pursuant to Fed.R.Civ.P. 12(b)(6), for failure to state a cause of action upon which relief may be granted.
