This appeal concerns appellant udge. Remanufacturing, Inc.’s liability to provide healthcare insurance to its founder and former majority shareholder and his wife, appellees Patrick Booth (Pat) and Patsy Booth (Patsy), under a consulting agreement that was part of a transaction whereby Booth sold the business to his son Tom. The dispute arose after Pat and Patsy were dropped from Riverside’s group plan and were placed on a policy that provided coverage that they considered inferior to the group policy.
