MEMORANDUM OPINION AND ORDER

KANE, District Judge.

Plaintiff N. Donald & Company is a Colorado corporation with its principal place of business in Colorado. N. Donald is a broker/ dealer in securities and is registered as such with the Securities and Exchange Commission and the National Association of Securities Dealers.
