MEMORANDUM OPINION
JOHNSTONE, Chief Judge.
The current issue before the court is whether a successor corporation is liable for response costs under Section 107 of the Comprehensive Environmental Response, Compensation, and Liability Act (CERC-LA). 42 U.S.C.S. § 9607 (1989). Defendant Angelí Manufacturing Corporation has moved under Rule 12 to dismiss the government’s claim for response costs which were incurred in cleaning up two hazardous waste sites in Jefferson County and Hardin County, Kentucky.
