FINDINGS OF FACT, CONCLUSIONS OF LAW, MEMORANDUM OPINION AND ORDER ON MOTION TO DISMISS

The matter before the Court is the latest battle in a war between shareholders over the control of ComScape Holding, Inc. (“Holding”) and its direct and indirect subsidiaries (collectively, the “Subsidiaries”). Holding is not a Chapter 11 debtor, but eight of the Subsidiaries are debtors and debtors in possession (collectively, the “Debtors”) in these Chapter 11 cases, as follows:
