LEISURE, District Judge:
This matter is before the Court on defendant’s motion to dismiss plaintiffs’ consolidated amended complaint (“the consolidated complaint”) for failure to state a claim upon which relief can be granted, pursuant to Fed.R.Civ.P. 12(b)(6). For the background to this action, see Moll v. U.S. Title Insurance Co., 654 F.Supp. 1012 (S.D.N.Y.1987) (hereinafter “Moll I”).
