OPINION

This action began in the Court of Chancery of the State of Delaware. Plaintiff by its complaint there sought an accounting for royalties allegedly due under an agreement licensing use of certain patents and a trademark and an injunction compelling defendant to make the necessary records and facilities available for inspection to determine the amounts due. Defendant removed the action to this Court under 28 U.S.C. § 1441. Plaintiff is a citizen of the State of Delaware and defendant is a citizen of the State of New York.
