MEMORANDUM OPINION AND ORDER
SIM LAKE, District Judge.
Plaintiff, LeTourneau Technologies Drilling Systems, Inc. (“LeTourneau”), brings this action against defendant, No-mac Drilling, LLC (“Nomac”), alleging breach of contract, negligent misrepresentation, and promissory estoppel concerning two transactions involving the sale of drilling rigs and drives for the rigs (Docket Entry No. 27). Nomac brings a counterclaim against LeTourneau alleging breach of contract and fraudulent inducement, and seeking rescission of the contract and the return of a substantial down payment on one of the contracts…
