This matter comes before the court on three motions: defendant Analytical Services & Materials, Inc.’s motion to dismiss pursuant to Federal Rule of Civil Procedure 12(b)(6), plaintiffs motion to amend the complaint pursuant to Federal Rule 15(a), and plaintiffs motion to dismiss defendant’s counterclaim pursuant to Federal Rule 12(b)(6). For the reasons set forth below, plaintiffs motion to amend the complaint is GRANTED, defendant’s motion to dismiss is GRANTED in part and DENIED in part, and plaintiffs motion to dismiss the counterclaim…
