The facts in this case are not in dispute, and accordingly present only questions of law for this court’s decision.

Appellants are four of several defendants named in a civil action commenced at Davenport, Iowa, wherein recovery is sought for alleged fraud claimed to have been committed in the consolidation of two fraternal benefit societies, The Modern Brotherhood of'America, an Iowa corporation, and the Independent Order of Forresters, a Canadian corporation.
