MEMORANDUM OPINION AND ORDER

JACKSON, District Judge.

This matter comes before the Court on Defendants’ Motion to Dismiss, or in the alternative, to Stay Count I of Plaintiffs Complaint. Defendants contend that Plaintiffs Complaint lacks subject matter jurisdiction and fails to state a claim upon which relief can be granted. The Court conducted a hearing on Defendants’ Motion on October 31, 2000. For the reasons outlined below, Defendants’ Motion to Dismiss, or in the alternative, to Stay Count I of Plaintiffs Complaint is DENIED
