MEMORANDUM OPINION

This matter is before the Court on Defendant’s Motion to Dismiss the Amended Complaint. For the following reasons, the Court will grant in part and deny in part the motion.

I. Background

The allegations in the Amended Complaint are as follows. On November 3, 2004, Daisuke Enomoto (“Plaintiff’ or “Enomoto”) and Space Adventures, Ltd. (“Defendant” or “SA”) entered into the Orbital Space Flight Purchase Agreement (the “Agreement”), a written contract under which Defendant promised to facilitate Plaintiffs participation in an orbital space flight…
