ORDER DENYING DEFENDANTS’ MOTION TO DISMISS

This matter is before the Court on the Motion to Dismiss for Failure to State a *1336Claim Upon Which Relief Can Be Granted (D.E. # 202) filed by Agenda de Viagens CVC Tur Limitada (“CVC”), Valter Patriani, SeaHawk North America, LLC, and Rodolfo Spinelli (collectively “Defendants”). The Court has considered the Motion to Dismiss, the related briefing, and is otherwise duly advised. For the reasons discussed below, the Court denies Defendants’ Motion to Dismiss in full.
