MEMORANDUM OPINION AND ORDER

On May 27, 2003, the Official Employment-Related Issues Committee of Enron Corporation (the “Employment Committee”) filed this adversary proceeding seeking to avoid transfers as (1) an avoidable post-petition transfer under 11 U.S.C. §§ 549 and 550 1 ; (2) a voidable preference under 11 U.S.C. §§ 547 and 550; and (3) a fraudulent transfer under 11 U.S.C. §§ 544(b), 548 and 550 and applicable state law.
