Miguel and Teresa Perez-Rubio (collectively referred to as the Perez-Rubios) brought this action asserting violations of the federal securities laws, of the federal Racketeer Influenced and Corrupt Organizations Act (“RICO”), and of various state laws. Defendants moved to dismiss the complaint pursuant to Rules 12(b)(6) and 9(b), Fed.R.Civ.P.
