In this appeal we consider the claims of defendants below-appellants Stella (“Stella”) and Demos (“Demos”) Yiannatsis that the Court of Chancery erred in finding: (1) that Stella’s purchase of a block of Sunview Corporation (“Sunview”) shares owned by deceased stockholder Costas Stephanis (“Cos-tas”) constituted an expropriation of a corporate opportunity; (2) that plaintiff below-appellee/cross-appellant John Stephanis (“John”) did not ratify Stella’s actions; and (3) that attorneys’ fees and past payments were not to be included in the amounts due Stella.
