WALSH, Justice:

This is an appeal from a Court of Chancery decision which upheld an order of the Securities Commissioner of Delaware (“Commissioner”) which imposed sanctions upon the appellant, Blinder, Robinson & Co., Inc., (“Blinder”) under the provisions of the Delaware Securities Act, 6 Del.C. §§ 7301-28 (“Act”). The Chancellor sustained the Commissioner’s determination that Blinder had reported in a materially misleading manner the result of a disciplinary proceeding in another state.
