ROBRENO, District Judge.

This action involves a dispute between the Insurance Commissioner of the Commonwealth of Pennsylvania, M. Diane Koken (the “Commissioner”), in her official capacity as Liquidator of Reliance Insurance Company (“Reliance”) and the Pension Benefit Guaranty Corporation (“PBGC”). The PBGC is seeking to enforce several perfected statutory liens it holds against certain subsidiaries of Reliance. On August 25, 2004, the Commissioner filed a petition in the Commonwealth Court of Pennsylvania seeking, inter alia, a declaratory judgment that the liens held by the PBGC…
