MEMORANDUM AND ORDER
MAGNUSON, Chief Judge.
INTRODUCTION
This matter is before the Court upon the parties’ Cross-Motions for Summary Judgment. Also now before the Court is the Plaintiffs Motion to Amend its Complaint and to Dismiss Certain Defendants without prejudice.
The Plaintiff brought this action on the Defendant’s refusal to pay for advisement service fees of about $2.9 million pursuant to an agreement entered by the parties in October 1994.
