MEMORANDUM AND ORDER
NEAHER, District Judge.
This action, brought derivatively on behalf of IN A Investment Securities, Inc. (the “Fund”), charges defendants INA Capital Management Corporation (the “Manager”) and thirteen past and present employees, officers and directors of the Fund and the Manager with various violations of the Investment Company Act of 1940, 15 U.S.C. § 80a — 1, et seq. (the “Act”), and the Investment Advisers Act of 1940, 15 U.S.C. § 80b-l, et seq. (the “Advisers Act”).
