OPINION AND ORDER
CONNER, District Judge:
This is an action by a shareholder of defendant International Telephone and Telegraph Corporation (“ITT”), brought derivatively on behalf of ITT. The Court’s jurisdiction and the claims asserted are based on the Securities Exchange Act of 1934 (“Exchange Act”), particularly Sections 10(b) and 27, 15 U.S.C. §§ 78j('b) and 78aa, and on Rule 10b-5, 17 C.F.R. 240.10b-5, promulgated thereunder.
