This is an appeal from an order of the District Court for the Southern District of New York, Gerard L. Goettel, Judge, granting defendants’ motion for summary judgment in a stockholder’s derivative suit on behalf of TRW, Inc. (“TRW”), an Ohio corporation, raising claims under § 14(a) of the Securities and Exchange Act of 1934, 15 U.S.C. § 78n(a) (1976) (“1934 Act”), and under state law.
