OPINION
DEBEVOISE, District Judge.
Plaintiff, Zoltán Somogyi, brings this action charging federal securities laws viola tions and common law fraud in connection with his purchase in 1976 of the assets and good will of a Buffalo, New York Volkswagen dealership, lease of the dealership premises and acquisition from the regional Volkswagen distributor of a Volkswagen dealership franchise.
