This proceeding came before the Court upon cross Motions for Summary Judgment filed by Plaintiff, Yates Development, Inc. (“Yates”), and Defendant, Old Kings Interchange, Inc. (“Old Kings”). Yates, in its Amended Complaint, and Old Kings, in its Counterclaim, requested that the Court declare their rights and obligations under a Settlement and Option Agreement dated May 22, 1998 (the “Option Agreement”), and specifically declare whether or not Paragraph 12 of the Option Agreement is enforceable.
