Complainants sue on a resolution of the board of directors of'the defendant company allotting to them individually, as charter members and incorporators, a number of shares of stock (to complainant Summerlin, 13,000; to complainant Luptoh, 15,000) of the defendant company, which stock they allege has been wrongfully converted and issued to other parties.
