OPINION AND ORDER DENYING DEFENDANTS’ MOTIONS TO DISMISS COUNTS ONE AND TWO OF THE COMPLAINT

EDMUNDS, District Judge.

This matter came before the court at a hearing on October 28,1996, on the following motions: Defendants’ joint motion to dismiss counts 1 and 2; VW, Pieeh, and Neumann’s motion to dismiss counts 1 and 2; and VWOA and Lytle’s motion to dismiss counts 1 and 2. For the reasons set forth below, Defendants’ motions to dismiss are denied.
