LAWSON, District Judge.

The plaintiff, William Peach, was employed by Total Petroleum, Incorporated (TPI) when the company was acquired by defendant Ultramar Diamond Shamrock (Diamond). Peach continued to work for Diamond as part of a transition team, understanding that his term was finite, but having been promised certain severance benefits if he stayed on and fulfilled certain conditions.
