Waldemar Fernandez sued WebSingularity, Inc.; its chief executive officer, Kenneth Gavranovic; and its chief financial officer, Bryan Adams, to recover the money he paid for shares of the corporation. The trial court granted the defendants’ motion, styled as one to dismiss, or in the alternative, for judgment on the pleadings. On appeal, Fernandez contends that the ruling was without support as to each of his claims and that he was not given reasonable opportunity to conduct discovery. For reasons that follow, we affirm in part and reverse in part.
