OPINION OF THE COURT
SAROKIN, District Judge:
Par-Knit Mills, Inc. (“Par-Knit”) appeals from an order of the district court staying federal court proceedings pending the completion of arbitration. The question presented on this appeal is whether the district court was correct in concluding that Par-Knit, as a matter of law, had entered into a written agreement to arbitrate disputes arising out of its contract with Stock-bridge Fabrics Company, Ltd. (“Stock-bridge”).
