Introduction

Before the court is Defendants’ Motion to Dismiss, pursuant to Federal Rule of Civil Procedure 12(b)(6), Plaintiffs’ consolidated complaint in this securities fraud action, which is a consolidation of two lawsuits previously filed in this court. 1 This memorandum constitutes the court’s findings of fact and conclusions of law.
