These cases result from a merger between two publicly traded corporations, McKesson Corporation (“McKesson”), the surviving corporation, and HBO Corporation (“HBO C”), which became a wholly owned subsidiary. Holcombe T. Green, HTG Corporation, and Hall Family Investments (hereinafter collectively referred to as the “shareholders”) were shareholders of HBOC before the merger and shareholders of McKesson following the merger.
