MEMORANDUM OF DECISION

NEAHER, District Judge.

Plaintiff Securities and Exchange Commission (“SEC”) brought this action pursuant to § 20(b) of the Securities Act of 1933 (“the Securities Act”), 15 U.S.C. § 77t(b), and § 21(e) of the Securities and Exchange Act (“the Exchange Act”), 15 U.S.C. § 78u(e), alleging violations by defendants of the § 5 registration provisions of the Securities Act, 15 U.S.C. § 77e, and the anti-fraud provisions of both acts, § 17(a) of the Securities Act and § 10(b) of the Exchange Act, 15 U.S.C. § 77q(a) and 15 U.S.C. § 78j(b).
